Terms of Business

1. About These Terms

These Terms of Business govern the provision of AI automation services by Precixa, a trading name of Thinkbig Technologies ("we", "us", "our"), to the client ("you", "your"). By engaging our services, you agree to these terms.

2. Our Services

We provide AI-powered automation services for UK businesses, including but not limited to:

• WhatsApp lead handling and enquiry management
• AI voice agents (inbound and outbound)
• Website chatbots
• Quote generation and payment chasing
• Job tracking and reporting
• Workflow automation
• AI audits and assessments

The specific services provided to you will be agreed in your service proposal or onboarding confirmation.

3. Pricing and Payment

3.1 Monthly Services

• Monthly service fees are invoiced in advance on the 1st of each month.
• Payment is due within 14 days of invoice date.
• All prices are quoted ex-VAT. UK VAT at the current rate applies where applicable.
• Payment is collected via Stripe. You authorise us to charge your payment method on file.

3.2 Setup Fees

• One-off setup fees are invoiced upon commencement of services and are due before work begins.
• Setup fees are non-refundable once work has commenced.

3.3 AI Audit

• The AI Audit fee is payable in advance of the discovery call.
• If we cannot identify at least 5 hours per week in potential time savings, we will refund the audit fee in full.

3.4 Price Changes

• We reserve the right to change prices with 30 days' written notice.
• Existing clients on annual plans will not be affected until their renewal date.

4. Contract Term and Cancellation

4.1 Monthly Plans

• Monthly plans are rolling month-to-month with no minimum term.
• Either party may cancel with 30 days' written notice.
• Upon cancellation, we will return your data in a portable format within 14 days.

4.2 Annual Plans

• Annual plans are paid upfront for 12 months.
• Annual plans are non-refundable except within the first 30 days (full refund).
• Annual plans auto-renew unless cancelled with 30 days' notice before the renewal date.

4.3 One-Off Projects

• Workflow automation projects and AI audits are one-off engagements with no ongoing commitment unless a retainer is agreed.

5. Service Level

5.1 Uptime

• We target 99% uptime for our AI services during business hours (Monday–Friday, 9am–6pm GMT).
• AI WhatsApp and voice agents operate 24/7 unless otherwise agreed.

5.2 Support

• Standard support queries: response within 24 hours (Monday–Friday).
• Critical incidents (service down during business hours): response within 4 hours.
• Support is included in all monthly plans at no additional cost.

5.3 Response Times

• We aim to respond to new enquiries within 1 hour during business hours.
• AI agents respond to end-customer enquiries in real-time (seconds).

6. Your Responsibilities

• Provide accurate information about your business, services, pricing, and availability.
• Ensure you have the right to use any content, branding, or materials provided to us.
• Ensure your customers have opted in to receive communications via WhatsApp where applicable.
• Review and approve AI configurations before they go live.
• Notify us promptly of any changes to your business that may affect the service.

7. Data and GDPR

• We process personal data in accordance with UK GDPR. See our Privacy Policy for full details.
• Where we process data on your behalf, we act as a data processor. A Data Processing Agreement (DPA) is available on request.
• Call recordings are retained for 90 days then permanently deleted.
• Chat transcripts are retained for up to 12 months.
• We are registered with the ICO as required under UK GDPR.

8. Intellectual Property

• You retain ownership of your business content, branding, and data.
• We retain ownership of the Precixa platform, AI models, and underlying technology.
• Workflow automations built on open-source platforms (e.g. n8n) are owned by you and continue to function if you leave our service.
• We may use anonymised, aggregated data for service improvement and marketing purposes.

9. Limitation of Liability

• Our total liability to you shall not exceed the fees paid by you in the 12 months preceding the claim.
• We are not liable for indirect, consequential, or incidental damages including loss of profit, loss of business, or loss of data.
• We are not liable for failures caused by third-party services (WhatsApp, Twilio, OpenAI, etc.) that are outside our control.
• Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. AI Disclaimer

• Our AI systems are tools that assist with business processes. They do not replace human judgment.
• AI-generated responses (quotes, follow-ups, reports) should be reviewed by you for accuracy.
• We do not guarantee specific outcomes (e.g. number of leads, revenue increase) as these depend on factors outside our control.
• AI systems may occasionally make errors. We build in safeguards and escalation paths, but cannot guarantee 100% accuracy.

11. Termination

• Either party may terminate with 30 days' written notice.
• We may terminate immediately if you breach these terms, fail to pay invoices within 30 days of due date, or use our services for unlawful purposes.
• Upon termination, we will return your data in a portable format within 14 days and delete it from our systems within 30 days.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Significant changes will be communicated to clients by email with 30 days' notice.
